Terms

The agreement, in plain terms

Using LeadShake means agreeing to what follows. It is written to be read: every price is a one-off payment, nothing renews on its own, and what a credit buys is stated in days.

1. Who you are contracting with

These terms form the agreement between you and Kern IT, company number BE0845906217, registered at Rue Belliard 2A, 1040 Bruxelles, Belgium. LeadShake is the name of the service Kern IT operates.

They apply from the moment you create an account or buy anything. They come with the privacy policy, which is part of the same agreement. If you do not accept them, do not use the service.

2. What the service does

LeadShake gives you one or more public card pages. Someone taps an NFC tag or scans a QR code, lands on your page, and can save your details or leave their own through a form. What they leave goes into a register you can filter, annotate, export and delete.

The service also sends, in your name, a connection email when a contact is captured and, if you switch it on, a follow-up email a few days later.

We do not sell the NFC tags. Any blank tag works, and a QR code works without any tag at all. Physical cards are announced but are not on sale.

3. Your account

Sign-in is by magic link: there is no password to choose or to lose. The link is sent to your address and the session it opens lasts seven days.

You are responsible for the mailbox behind that address. Anyone who can read it can sign in as you, so treat it accordingly and tell us at once if you think it has been compromised.

You must be at least sixteen years old, and the details you give must be yours and accurate. One account is personal to one person: teams work through an organisation, with a seat per member.

4. What you may not do with it

  • Capture contacts without the consent of the person concerned, or repurpose them for something they did not agree to
  • Import, upload or send lists bought or scraped elsewhere
  • Send anything unlawful, deceptive, harassing, or infringing someone's rights
  • Attempt to access another account, probe the service for weaknesses, or work around a limit
  • Resell or sublicense access to the service without a written agreement

You are the controller of the contacts you capture. Using them lawfully is your obligation, not ours, and it is the one we cannot perform on your behalf.

If we find a serious breach, we may suspend the account. Where the circumstances allow, you are told first and given a chance to put it right.

5. Prices and payment

The free plan is free, with no time limit: one card, unlimited lead capture, and the register that goes with it.

Everything else is a one-off payment. There is no subscription at any tier, nothing renews automatically, and no card is kept on file for a future charge.

The catalogue and its prices are shown on the pricing page, which is the reference: an Event Pass, a pack of three, a year pass, and team tiers priced by size. Prices are stated excluding VAT. Belgian customers are charged Belgian VAT; businesses elsewhere in the European Union that give a valid VAT number at checkout are reverse-charged.

Payment is handled by Stripe. We never see or store your card number. An invoice is available in your account after each payment.

We may change prices. A change never applies to something you have already paid for.

6. What a credit gives you, and when it runs out

A paid pass adds a credit to your account. The credit is not the campaign: you activate it when you choose, which is what lets you buy before an event rather than during it.

Once activated, a credit opens one extra campaign for thirty days. When those thirty days are up, the campaign stops capturing and becomes read only. Nothing is deleted. Every contact already captured stays available, searchable and exportable for as long as your account exists.

An unused credit may itself expire: a three-event pack lapses twelve months after purchase. The deadline is shown in your dashboard and you are reminded by email before it passes. Solo credits bought individually do not expire.

A year pass removes the per-campaign limit for twelve months from activation.

Team tiers are one-off passes priced by team size. Checkout refuses a tier when your organisation already has more members than the tier allows.

7. Right of withdrawal

If you are a consumer, meaning you buy outside any trade or profession, European law gives you fourteen days to withdraw from a distance purchase, with no reason to give.

A pass is digital content supplied immediately. By buying it and activating it, you ask for that immediate supply and you acknowledge that doing so ends your right of withdrawal for that pass. As long as a credit has not been activated, the fourteen days run normally and you may withdraw: write to contact@leadshake.io and the payment is returned in full.

If you buy in the course of a business, which covers most uses of this product, the statutory right of withdrawal does not apply.

In both cases, if something does not work as described, that is not a withdrawal question but a conformity one, and section 8 applies.

8. Refunds, and credits being revoked

If the service fails to do what these terms say it does, tell us. Where we cannot put it right, we refund the pass concerned.

Where a payment is refunded or charged back, whatever it bought is withdrawn: the credit is marked refunded and any campaign it opened is deactivated. This is automatic and follows the payment, not a judgement about you.

Deactivating a campaign stops capture. It does not delete the contacts already in your register.

9. Your content and your contacts

What you put on your card stays yours. You give us only what is needed to display and deliver it: hosting it, showing it on your public page, and sending it in the emails you ask for. Nothing more, and nothing for our own promotion without asking you first.

The contacts you capture are yours in the same way. We are the processor for them, as set out in the privacy policy. We do not resell them, do not enrich them, and do not use them to train anything.

The service itself, its code, its name and its design remain ours.

10. Availability

We aim to keep the service running and to keep your data intact, and we take that seriously enough to host it ourselves inside the European Union. We do not, however, promise uninterrupted availability: maintenance happens, and so do failures.

Where an interruption is planned and material, account holders are told in advance.

Exporting your register to XLSX takes one click. For anything you would be unable to reconstruct, take the export: a backup you hold is worth more than a promise you are given.

11. Liability

Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything the law does not allow to be limited. Consumers keep every mandatory protection their national law gives them, and this section does not touch it.

Beyond that, our liability for any claim connected to the service is limited to the amount you paid us in the twelve months before it arose. We are not liable for indirect or consequential loss, including lost profit or lost business opportunity.

We are not liable for what you do with the contacts you capture. That is your processing, on your legal basis.

12. Ending it

You may stop at any time. Deleting your account from the settings page erases it and everything hanging off it, immediately and for good, as described in the privacy policy. An unused credit is lost when you do, so use it or ask us first.

We may terminate for a serious breach of section 4, or if we discontinue the service. In the second case account holders get reasonable notice, an opportunity to export, and a refund of any credit paid for and not used.

13. Changes to these terms

These terms may change as the product does. When a change materially affects you, the date at the top changes and account holders are told by email before it takes effect.

Continuing to use the service after that is acceptance. If you would rather not accept, delete your account, and any unused credit is refunded.

14. Law and jurisdiction

Belgian law governs this agreement, without regard to its conflict of law rules.

Disputes go to the courts of Brussels, Belgium. If you are a consumer, that does not deprive you of the right to bring proceedings before the courts of your own place of residence, nor of any protection your national law gives you. Consumers in the European Union may also use the online dispute resolution platform the European Commission provides.

If any provision here is found unenforceable, the rest stands.
